Terms of Service

These Terms of Service (“Terms”) govern your use of BV Field App™, a product of Olive on Main Design Studio, LLC (“Company,” “we,” “us,” or “our”). By accessing or using BV Field App, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Service Description

BV Field App is a web-based sales platform designed for residential window and door replacement companies. The platform enables field sales representatives to capture appointments, configure products, generate quotes, collect electronic signatures, and process customer deposits. The service is provided on a subscription basis as described on our Pricing page.

2. Eligibility and Account Registration

BV Field App is a business-to-business service. By subscribing, you represent that you are authorized to enter into this agreement on behalf of your company. BV Field App uses passwordless authentication via email-based sign-in links. You are responsible for maintaining the security of the email accounts associated with your users and for all activity that occurs under your company’s account. You agree to notify us promptly of any unauthorized access.

3. Subscription Plans and Fees

• Pilot Plan: Month-to-month subscription with a one-time setup fee. Includes up to 5 users.
• Standard Plan: 6-month minimum commitment, then month-to-month. Includes unlimited users and a one-time setup fee.
• Enterprise Plan: Custom pricing and terms scoped per engagement.

All fees are due as specified in your service agreement. Setup fees are non-refundable once catalog configuration has begun. Monthly subscription fees are billed in advance. We reserve the right to modify pricing with 30 days’ written notice; changes apply at the start of your next billing cycle.

4. Setup and Configuration

As part of onboarding, we configure your product catalog, pricing rules, and company profile based on information you provide. You are responsible for the accuracy of the product data, pricing, and business information you supply. We are not liable for errors in quotes or transactions resulting from incorrect catalog data provided by you.

5. Payment Processing

BV Field App integrates with Stripe, Inc. for customer deposit collection. By using the payment features, you agree to Stripe’s Terms of Service and Connected Account Agreement. Stripe’s standard processing fees (currently 2.9% + $0.30 for card transactions and 0.8% capped at $5.00 for ACH transfers) are charged by Stripe, not by us. We do not store your customers’ full credit card numbers or bank account details.

6. Electronic Signatures

BV Field App provides electronic signature functionality to facilitate customer acceptance of quotes and contracts. You are responsible for ensuring that your use of electronic signatures complies with applicable federal and state laws, including the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). We provide the mechanism for capturing signatures but do not provide legal advice regarding the enforceability of any specific document or transaction.

7. Your Data

You retain ownership of all data you and your team enter into BV Field App, including customer information, photos, product configurations, quotes, and transaction records. We access your data only to provide and improve the service, respond to support requests, and fulfill our obligations under this agreement. Our handling of data is described in our Privacy Policy.

8. Acceptable Use

You agree not to:

• Use BV Field App for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the platform, other accounts, or related systems
• Reverse engineer, decompile, or disassemble any part of the service
• Resell, sublicense, or provide access to BV Field App to third parties without our written consent
• Transmit malicious code, viruses, or any harmful material through the platform
• Use the platform in a manner that could damage, disable, or impair its operation

9. Intellectual Property

BV Field App, including its design, functionality, code, documentation, and trademarks, is the property of Olive on Main Design Studio, LLC and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business operations during the term of your subscription. This license does not transfer any ownership rights to you.

10. Service Availability

We strive to maintain high availability of BV Field App but do not guarantee uninterrupted access. We may perform scheduled maintenance, and unplanned outages may occur. We will make reasonable efforts to notify you in advance of scheduled maintenance. Enterprise customers with an SLA will be governed by the uptime terms specified in their service agreement.

11. Limitation of Liability

To the maximum extent permitted by law, Olive on Main Design Studio, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of BV Field App, including but not limited to lost profits, lost revenue, lost data, or business interruption, regardless of the theory of liability.

Our total cumulative liability for all claims arising under or related to these Terms shall not exceed the total fees you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Olive on Main Design Studio, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of BV Field App, your violation of these Terms, or your violation of any applicable law or regulation.

13. Termination

You may cancel your subscription at any time by contacting us in writing. Cancellation takes effect at the end of your current billing period. Pilot plans may be canceled at any time with no further obligation. Standard plans are subject to the 6-month minimum commitment; early termination does not waive remaining fees unless otherwise agreed in writing.

We may suspend or terminate your access if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use of the platform poses a risk to the service or other users. We will provide notice where practicable.

Upon termination, your right to use the platform ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.

14. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

15. Modifications to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. For material changes, we will make reasonable efforts to notify you via email or through the platform. Your continued use of BV Field App after changes take effect constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any service agreement executed between you and Olive on Main Design Studio, LLC, constitute the entire agreement between you and us regarding BV Field App. They supersede any prior agreements or understandings, whether written or oral.
